Terms of Service

1. Agreement to these terms

These Terms of Service govern your use of naventric.com, your Naventric account, and the customer portal. The website and its services are operated by Naventric Technologies (Pvt) Ltd, a private limited company incorporated in Sri Lanka under the Companies Act No. 07 of 2007 (“Naventric”, “we”, “us”).

By using the site or creating an account you agree to these terms. Individual Naventric products (such as Helm) may carry additional product-specific terms presented at subscription.

2. Your account

• You must provide accurate information when registering and keep it up to date.
• You are responsible for keeping your credentials confidential and for all activity under your account.
• You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.

3. Products and subscriptions

Naventric products are offered on the pricing terms shown on each product page. Free tiers, trials, and paid plans may change with notice; price changes never apply retroactively to an already-paid period. Enterprise plans are governed by the agreement negotiated with your organization.

4. Quotations and custom solutions

Quotation requests submitted through the site are an invitation to discuss your project. Estimates and proposals are non-binding on both parties until a separate written agreement is signed.

5. Acceptable use

You agree not to:

• Use the service for any unlawful purpose.
• Attempt to gain unauthorized access to accounts, systems, or data, or probe the service for vulnerabilities without written authorization.
• Interfere with the operation of the service, including by overloading or disrupting it.
• Scrape the site or harvest personal data of other users.
• Impersonate Naventric, its staff, or any other person.

6. Intellectual property

All intellectual property in the website, its content and branding, and in the Naventric software products and platforms — including Helm — is owned exclusively by Naventric Technologies (Pvt) Ltd. This includes all source code, designs, documentation, databases, and any improvements or derivative works, whether developed independently or in the course of delivering services to a client, except where a signed written agreement expressly assigns specified deliverables.

A subscription grants a limited, non-exclusive, non-transferable right to use the relevant product for its subscription period. It transfers no ownership. These terms grant you no rights in our trademarks, source code, or other intellectual property.

Content you submit (such as quotation details) remains yours; you grant us the license needed to process it for the purpose you submitted it for.

7. Disclaimers

The website is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. Service-level commitments, where offered, are defined in product-specific or enterprise agreements — not in these terms.

8. Limitation of liability

To the maximum extent permitted by law, Naventric is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data, arising from your use of the website. Our total liability for claims relating to the website is limited to the amount you paid us in the twelve months preceding the claim.

9. Suspension and termination

We may suspend or terminate accounts that breach these terms or create risk for the service or other users. You may stop using the service and request account deletion at any time.

10. Changes to these terms

We may revise these terms from time to time. Material changes will be announced on this page with an updated effective date; continued use after changes take effect constitutes acceptance.

11. Governing law and jurisdiction

These terms are governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka, without regard to conflict-of-law rules.

The courts of Sri Lanka have exclusive jurisdiction over any dispute arising out of or in connection with these terms or your use of the website. Commercial disputes are subject to the jurisdiction of the Commercial High Court of the Western Province, Colombo.
